Mandy is Of Counsel of the corporate practice group in Hong Kong and has more than 15 years of experience in corporate finance matters gained from international law firms. 

Mandy’s corporate financial practice includes advising Hong Kong listed companies in their restructuring and other public and private corporate clients in a broad range of corporate transactions including fund raising exercise. 

She also participates in Hong Kong initial public offerings and frequently advises investments banks, underwriters and listing applicants on proposed listings on The Stock Exchange of Hong Kong Limited.

Relevant experience

  • A number of listed companies in Hong Kong | in their restructuring, which includes very substantial acquisition, reverse takeover involving new listing application under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, and capital and corporate reorganisation.
  • A number of investment banks, underwriters and listing applicants in the Greater China | in initial public offerings in Hong Kong and listings on The Stock Exchange of Hong Kong Limited, including H-Shares companies and red-chip companies engaged in a wide spectrum of industries such as mining of coal and other minerals, online backup software products and service, aircraft leasing, theme parks development and operation, electronic fund transfer solution provision service, water saving irrigation system, consumer goods and services and logistics service.
  • Public takeovers involving listed companies in Hong Kong | acting for offerors, offeree companies and major shareholders in public takeovers in Hong Kong regulated by the Code on Takeovers and Mergers.
  • A listed company principally engaged in shipping and logistics businesses | in its issue of batches of convertible bonds and the subsequent placings its major transaction in relation to acquisition of two dry bulk vessels; and its very substantial disposal of railway business situating in Hebei Province, China.
  • A listed company principally engaged in the provision of financial services, and its major shareholders | in the sale and purchase of shares in the listed company which constituted a conditional mandatory general cash offers by the investor under the Code on Takeovers and Mergers, and advising the listed company in its proposed very substantial acquisition of the businesses of wealth and asset management, fund sales and sales of financial products in China.
